These Terms & Conditions (“Terms”) govern your access to and use of the Atelier Southeast website and your purchase of products and services from Atelier Southeast LLC.

By accessing our website, creating an account, submitting an order, or otherwise using our services, you agree to these Terms.

If you do not agree with these Terms, please do not use our website or services.

Atelier Southeast operates primarily as a custom apparel and personalization business serving both individual customers and businesses.

2. Definitions

For purposes of these Terms:

“Atelier Southeast,” “we,” “us,” or “our” means Atelier Southeast LLC.

“Customer,” “you,” or “your” means the individual or legal entity purchasing products or using our website or services.

“Products” means apparel, accessories, promotional products, customized products, and other merchandise offered by Atelier Southeast.

“Customized Products” means products personalized or decorated according to customer specifications.

“Mockup” means a visual representation of a proposed customized order provided to the customer for review and approval.

3. Eligibility

You must be at least 18 years old to create an account or place an order through our website.

If you place an order on behalf of a business, organization, or other entity, you represent that you have authority to act on behalf of that entity and agree to these Terms on its behalf.

4. Customer Accounts

Customers may create an account when account functionality is available.

You are responsible for providing accurate and current information and for maintaining the confidentiality of your login credentials.

You are responsible for activity occurring through your account.

You must promptly notify Atelier Southeast if you believe your account has been accessed without authorization.

We may suspend or terminate accounts that violate these Terms, applicable law, or our policies.

5. Product Information

We make reasonable efforts to accurately describe and display our products.

However, colors may appear differently depending on the customer's device, screen settings, lighting, photography, or other factors.

Minor variations in garment color, texture, dimensions, placement, or production may occur within normal manufacturing and decoration tolerances.

6. Pricing

Prices are displayed in U.S. dollars unless otherwise stated.

Prices may change before an order is placed.

Once an order is accepted, the applicable order price will generally be the price presented at checkout, in the accepted quote, or in the applicable written agreement.

Additional charges may apply for:

  • artwork preparation;

  • embroidery digitization;

  • special production requirements;

  • rush service;

  • shipping;

  • taxes;

  • changes requested after initial quotation; or

  • other services specifically disclosed to the customer.

7. Sales Tax

Applicable sales tax may be collected based on the order, customer, product, destination, and applicable law.

Customers claiming a tax exemption are responsible for providing valid exemption documentation when required.

A resale certificate does not automatically make every business purchase tax-exempt. Purchases must qualify under applicable resale rules.

8. Order Acceptance

Submitting an order constitutes an offer to purchase.

Atelier Southeast may accept, reject, or request clarification regarding an order.

We may decline or cancel an order when reasonably necessary, including because of:

  • product availability;

  • pricing or listing errors;

  • inability to fulfill the requested customization;

  • suspected fraud;

  • unlawful or infringing content;

  • payment issues;

  • technical errors;

  • insufficient information; or

  • other legitimate business or legal reasons.

If Atelier Southeast cancels an order after payment has been collected, the applicable amount will generally be refunded.

9. Customized Orders and Mockup Approval

Customized orders are subject to our mockup approval process.

Atelier Southeast may prepare a mockup and send it to the customer for review.

Customers may request revisions before approval.

Production begins only after the customer provides approval of the final mockup in writing.

Once approved, the customer is responsible for confirming the accuracy of:

  • spelling;

  • names;

  • numbers;

  • logos;

  • artwork;

  • colors;

  • sizes;

  • product selection;

  • quantity;

  • placement;

  • decoration method; and

  • other specifications.

Approval constitutes confirmation that the customer has reviewed the design and authorizes Atelier Southeast to proceed.

10. Changes and Cancellations

Before production begins, Atelier Southeast may be able to accommodate certain changes or cancellation requests.

Once a customized order has been approved and production begins, changes or cancellations generally cannot be accommodated.

Non-customized orders may be cancelled when requested before processing, fulfillment, or shipment, subject to the applicable circumstances.

11. Customer-Provided Artwork

Customers may provide logos, trademarks, artwork, photographs, text, graphics, and other content for use in customized products.

The customer represents and warrants that they:

  • own the content; or

  • have obtained all necessary rights, licenses, permissions, and authorizations to use the content for the requested purpose.

The customer is responsible for ensuring that submitted content does not violate copyright, trademark, publicity, privacy, contractual, or other rights.

12. License to Process Customer Content

By submitting artwork or other content to Atelier Southeast, the customer grants Atelier Southeast a limited, non-exclusive, royalty-free license to use, reproduce, modify, format, store, and process that content only as reasonably necessary to:

  • review the order;

  • prepare mockups;

  • prepare production files;

  • manufacture the requested products;

  • fulfill the order;

  • provide customer service; and

  • resolve order-related issues.

This license does not transfer ownership of the customer's underlying intellectual property to Atelier Southeast.

Atelier Southeast does not receive a general right to commercially exploit customer artwork simply because the customer submits it for production.

13. Customer Indemnification

To the extent permitted by law, the customer agrees to defend, indemnify, and hold harmless Atelier Southeast LLC and its owners, employees, contractors, and service providers from third-party claims, damages, liabilities, costs, and reasonable expenses arising from:

  • customer-provided artwork;

  • alleged copyright or trademark infringement;

  • unauthorized use of logos, images, photographs, or other content;

  • content supplied by the customer;

  • violations of applicable law by the customer; or

  • the customer's breach of these Terms.

14. Atelier Southeast Intellectual Property

Unless otherwise stated, Atelier Southeast owns or has the right to use the intellectual property appearing on our website and in our business materials, including:

  • logos;

  • branding;

  • website content;

  • photographs;

  • graphics;

  • original designs;

  • marketing materials;

  • text;

  • templates; and

  • other proprietary materials.

Purchasing a customized product does not transfer ownership of Atelier Southeast's underlying production files, artwork files, embroidery digitization files, vector working files, templates, or other proprietary production materials unless expressly agreed in writing.

15. Prohibited Orders and Content

Atelier Southeast reserves the right to refuse orders involving content that we reasonably believe is unlawful, infringing, fraudulent, threatening, defamatory, or otherwise inappropriate for our services.

We may also refuse production when fulfilling an order would reasonably expose Atelier Southeast to legal or operational risk.

16. B2B and Bulk Orders

Business, corporate, organizational, school, team, and bulk orders may be subject to additional written terms.

A quote, estimate, invoice, purchase order, or other written agreement may establish specific terms concerning:

  • quantities;

  • pricing;

  • deposits;

  • payment schedules;

  • artwork;

  • mockup approval;

  • production;

  • delivery deadlines;

  • cancellation;

  • returns;

  • shipping; and

  • other order-specific conditions.

To the extent permitted by law, such written order-specific terms may supplement or supersede these general Terms.

17. Production and Delivery

Production and shipping timelines are estimates unless a specific deadline has been expressly confirmed in writing by Atelier Southeast.

Customized products generally require 10–15 business days after final mockup approval.

Non-customized products generally require 5–7 business days for processing.

Shipping transit time is separate from production or processing time.

Nothing in these Terms is intended to waive rights or obligations imposed by applicable law concerning shipping delays.

18. Local Pickup

Local pickup may be available at:

Pickup is by appointment only.

Atelier Southeast is not a walk-in retail store.

19. Third-Party Services

Atelier Southeast may use third-party services to operate portions of our business, including ecommerce platforms, payment processors, shipping carriers, analytics providers, communications services, and other technology or business providers.

Third-party services may have their own terms and privacy policies.

Atelier Southeast is not responsible for independent acts or omissions of third-party providers, except to the extent otherwise required by applicable law.

20. Website Use

You agree not to:

  • interfere with website operation;

  • attempt unauthorized access;

  • introduce malicious code;

  • scrape or misuse website content;

  • impersonate another person or entity;

  • use the website for unlawful purposes; or

  • violate applicable laws while using our services.

21. Reviews and User Content

Customers may be permitted to submit reviews, comments, photographs, testimonials, or other content.

You represent that content you submit is accurate to the best of your knowledge and does not unlawfully infringe another person's rights.

Atelier Southeast may remove content that violates these Terms or applicable law.

22. Force Majeure

Atelier Southeast will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including, where applicable:

  • natural disasters;

  • severe weather;

  • fire;

  • flood;

  • power outages;

  • equipment failure;

  • supplier shortages;

  • transportation disruptions;

  • carrier delays;

  • labor disruptions;

  • government action;

  • public emergencies;

  • cyber incidents;

  • widespread technology failures; or

  • other circumstances beyond our reasonable control.

This provision does not eliminate rights or remedies that cannot legally be waived.

23. Disclaimer of Warranties

To the maximum extent permitted by law, the website and services are provided on an “as available” basis.

We do not guarantee that the website will always be uninterrupted, error-free, or completely secure.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Atelier Southeast will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website, products, or services.

To the extent permitted by law, Atelier Southeast's aggregate liability relating to a particular order will not exceed the amount actually paid to Atelier Southeast for the specific order giving rise to the claim.

This limitation does not apply to liabilities that cannot legally be limited or excluded.

25. Termination and Suspension

Atelier Southeast may suspend or terminate access to an account or website functionality when reasonably necessary because of:

  • fraud;

  • unlawful activity;

  • abuse;

  • violation of these Terms;

  • unauthorized use;

  • payment issues; or

  • other legitimate business or legal reasons.

Termination does not eliminate obligations that by their nature should continue after termination.

26. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.

27. Dispute Resolution

Before pursuing formal legal proceedings, the parties are encouraged to contact one another and attempt in good faith to resolve any dispute informally.

Nothing in this section prevents a party from seeking emergency or legally available relief when necessary.

Any mandatory consumer rights or dispute procedures imposed by applicable law remain unaffected.

28. Changes to These Terms

Atelier Southeast may update these Terms from time to time.

Changes become effective when posted to the website unless a different effective date is stated.

The “Last Updated” date identifies the current version.

Your continued use of the website after an updated version is posted constitutes acceptance of the updated Terms to the extent permitted by law.

29. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

30. Entire Agreement

These Terms, together with applicable policies, order-specific agreements, quotes, invoices, and other written terms expressly incorporated into an order, constitute the agreement governing the applicable transaction.
